Responsibilities

  1. Program Representatives shall act as liaisons between PAR-BC and the membership.
  2. Program Representatives will be responsible for helping to identify potential committee members.
  3. Program Representatives will be a pool of potential members for the PAR-BC's external and internal committees.
  4. Program Representatives will be encourage to attend at least one board meeting per year to present a brief review of issues and concerns within their program.
  5. Program Representatives may request thru the President an opportunity to participate in an upcoming board meeting.

  6. Program Representatives will assist the nominating committee to find high quality candidates to run for the board of directors.

    Composition
     

  7. Program Representatives referred to herein shall consist of the duly elected or appointed program- or site-based Residents.

    Authority
     

  8. The Program Representatives shall have no authority to determine PAR-BC policy.
  9. The Program Representative will be given observer status at board meetings. They will not be voting board members.

    Term
     

  10. Each Program Representative shall be elected annually as hereinafter provided and each shall hold office until he/she dies, resigns, is removed, is disqualified, or until his/her successor is elected and takes office.
  11. A Program Representative shall be eligible for re-election unless disqualified.
  12. A Program Representative may resign at any time by notice in writing to the Director of Communications or the President and a Program Representative may be removed at any time by a 50% majority vote of the Residents in the program, which the program representative represents. This ballot will be prepared and distributed by an employee of the PAR-BC.

    Meetings
     

  13. Meetings of the Program Representatives will be called by the President of the PAR-BC, or in his/her absence or incapacity, by the Vice-President or by any two members of the Board of Directors.
  14. The President will sit as Chairperson of all meetings. In his/her absence the Vice-President will sit and in his/her absence any Board member who the Board may appoint.

    Save Harmless
     

  15. A Program Representative will be indemnified by the PAR-BC in the event he/she is held liable for any act or omission occurring in the course of his/her duty unless the act or omission happened through negligence or willful neglect.

    Fair Representation
     

  16. No Program Representative shall act in a manner that is arbitrary, discriminatory, negligent, or in bad faith in the representation of a member of the PAR-BC or its policies.

    Confidentiality
     

  17. A Program Representative shall use appropriate discretion with respect to personal matters involving members disclosed to them in the course of their duties, and shall maintain appropriate confidentiality with respect to PAR-BC matters where disclosure may harm the interests of the members.
