PAR-BC Board of Directors 2007 - 2008

Powers:

  • The PAR-BC Board of Directors is the supreme governing body of the Association when the Annual General Meeting is not in session, subject to the provisions of the PAR-BC constitution and by-laws. [Article V(1) of the PAR-BC by-laws]

Authority:

  • The board of directors shall have the right to determine eligibility of prospective members or groups seeking representation by the Association. [Article II(2) of the PAR-BC by-laws]
  • The board of directors shall manage the affairs of the Association and it may employ persons or pay for such assistance as it may require and otherwise use the funds of the association in furthering the interests of the members. [Article V(3) of the PAR-BC by-laws]
  • The board of directors may authorize the expenses of members of the association while engaged in association work to be paid out of the funds of the association. [Article V(4) of the PAR-BC by-laws]
  • The board of directors shall appoint any member or staff of the association to serve on any standing, ad hoc, or such other committee as the board from time to time deem necessary for the operation of the association.
  • The board of directors is responsible for the planning of Association strategy such as identifying issues of importance to the Association and ensuring that the mission statement is adhered to.

Term:

  • Under Article V(6) of the by-laws each member of the board shall be elected annually and each shall hold office until he/she dies, resigns, is removed, is disqualified, or until his/her successor is elected and takes office.

Responsibilities:

  • No member of the board shall act in a manner that is arbitrary, discriminatory, negligent or in bad faith in the representation of a member of the Association of its policies. [Article V(17) of the by-laws]
  • A board member shall use appropriate discretion with respect to personal matters involving members disclosed to them in the course of their duties, and shall maintain appropriate confidentiality with respect to Association matters where disclosure may harm the interests of the members. [Article V(18) of the by-laws]
  • A member of the board is expected to attend nine of the twelve yearly meetings of the board.
  • Each member of the board of directors is responsible for maintaining direct, ongoing effective liaison with three members of the program representatives council at minimum this would involve contacting each of the assigned program representatives prior to the monthly board meeting to discuss the upcoming issues and to obtain input as well as contacting each again after the session to discuss the results and information to be disseminated to the members.
  • The board of directors may invest any of the funds of the association not required for current expenditures in securities authorized by law for the investment of trust funds. [Article XI(5) of the PAR-BC by-laws]
  • The board of directors is responsible for ensuring that any charges against members who are alleged to have violated the constitution and by-laws are dealt with as outlined under Article XV(1-18) of the PAR-BC by-laws.
